The THG Process The Harbor Group offers consultative workshops geared toward maximizing the effectiveness of presentations to investor groups by providing advisory services that assist in the proper preparation of materials. ie. corporate/capital/deal structure, business plan, valuation, exit strategies, executive coaching, and corporate finance education. THG has a three phase comprehensive process that completely structures the early to late stage companies. It starts with an Offering Assessment Workshop. In a half-day session, we review 10 key areas that you may already have or not in your investor package to date, including your business plan, pro forma financials, growth strategies, capital structure, investor presentation, ROI vehicles, exit strategy, securities type, etc. and provide a "gap analysis" of where you are and what needs to be done for SEC Reg D compliance and be "investable". Our goal is that all your material tie together and support the other components that end up being an investable Corporate Structure, Valuation for your company, Deal Structure, Private Placement Memorandum / Term Sheet and a Subscription Agreement. You will then get an immediate report assessing the quality of the package, what is missing or incorrect, and what is required for compliance. We can complete this step with you in a conference call or in person. The cost is $650. You use this report as the critical input to have your lawyer, investment banker, business consultant, yourselves, or The Harbor Group to work with you to complete the components of your investor offering package. The level of our involvement determines the cost, but in all cases, the Harbor Group fees are much less than other alternatives. For instance, we have the self-service model where we provide you only the templates and self-guided tools for your teams use and we act as only advisors in helping you complete the documents. Phase two is where we do all the valuation analysis, calculations, capital structure development, advisory work on deal structure, and counsel preparatory work using our templates and you fill out the offering material. Outside all the above listed work THG does not develop the actual PPM and Subscription Agreement. That is the only area that either your lawyer will need to do, our you can. Phase three is the development of the Investor Presentation under our guidance and executive coaching to articulate your deal to investors in their terms. We can introduce you to investor groups at this point and/or you can present this to any investor group and be able to legally raise capital. |
